PHDCCI Workshop Explores Latest Amendments, Issues & Clarifications on SEBI (LODR) & Prohibition of Insider Trading Regulations

PHDCCI Hosts Workshop on SEBI (LODR) & Prohibition of Insider Trading Regulations

The PHDCCI's Corporate Affairs Committee successfully organized a Workshop on the Latest Amendments, Issues & Clarifications of SEBI (LODR) & Prohibition of Insider Trading Regulations on June 1, 2023, at PHD House in New Delhi.

P K Rustagi, Chair of the Corporate Affairs Committee, warmly welcomed the esteemed speakers and delegates in attendance. In his Opening Address, he emphasized the significance of SEBI LODR, which mandates listed companies to disclose information accurately and promptly to investors.

He also highlighted the importance of the Prohibition of Insider Trading Regulations in preventing unfair practices and market manipulation. These regulations strictly prohibit insiders from engaging in trading activities based on undisclosed information that could impact on the value of securities.

Sameet Gambhir, Co-Chair of the Corporate Affairs Committee, delivered the Theme Address and emphasized the need for robust internal controls, monitoring mechanisms to ensure compliance. He stressed the importance of fostering a culture of compliance, where every employee understands their responsibilities and upholds the highest standards of integrity. By raising awareness among stakeholders, compliance can be ensured, investor trust can be enhanced, and a level playing field can be maintained in the dynamic capital market landscape.

The Workshop consisted of two Panel Sessions. The first session focused on a critical analysis of important provisions of SEBI (LODR). Vishal Narula, Managing Director of Alvarez & Marsal, skillfully moderated the session. The panellists included Partho Dasgupta, Partner at BDO India; Parvesh Kheterpal, Head Legal & CS at Feedback Infra; and Vikas Goyal, Senior Manager & Assistant Company Secretary at NTPC Ltd.

The second session delved into the Latest Amendments, Challenges & Impacts of Insider Trading. Meenakshi Sharma, Technical Director - Capital Markets at KPMG Assurance and Consulting Services LLP, expertly moderated the session. The panellists included Rohit Dhingra, Managing Director of Risk Advisory and Investigations at FTI Consulting, and Sumant Nayak, Senior Partner at Desai & Dewanji.

Mohit Luthra, Assistant Secretary General of PHDCCI, delivered the formal vote of thanks and concluding remarks, expressing gratitude to the sponsors for their support.
